1.1. Introduction and User Consent:
1.1.1. Welcome to gsindustries.ge (hereinafter – the “Online Store”), which is a website owned by LLC “Georgian Scientific Industries” (ID No. 405752886) (hereinafter – the “Company”). These Terms and Conditions (hereinafter – the “Terms and Conditions”) constitute a binding agreement between you and us, regulating our relationship and setting out the rules and conditions of using the Online Store.
1.1.2. By confirming your acknowledgment of these Terms and Conditions, as well as by registering on the Online Store, placing an order and/or purchasing any product, you acknowledge and confirm that you have read and agree to these Terms and Conditions.
1.1.3. These Terms and Conditions serve as supplementary provisions to the conditions relating to the purchase of goods and/or services offered on the Online Store.

2. Scope of Application

2.3. If you are an EU consumer, you benefit from mandatory consumer protection laws of your country of residence. Nothing in these Terms limits those rights.
3. Nature of Products – Open-Source Hardware
3.1. Certain products are based on the OpenFlexure open-source hardware project.
3.2. OpenFlexure design files are licensed under the CERN Open Hardware License (CERN-OHL).
3.3. The Company:
- Does not claim ownership of the underlying open-source design files;
- Manufactures and sells physical products and kits;
- May provide assembly, calibration, packaging, and support services.
3.4. Your rights under CERN-OHL (including modification and redistribution of design files) remain unaffected by purchase
3.5. The legal guarantee described in these Terms applies only to the physical goods supplied by the Company, not to user-modified versions.
4. Products Offered
4.1. In Georgia:
- Fully assembled OpenFlexure microscopes
- Kits and components
4.2. In the European Union:
- Kits and unassembled components only
4.3. EU sales do not include pre-assembled microscopes with integrated electronics.
4.4. Minor variations may occur due to manufacturing tolerances or material improvements.
5. Contract Formation
5.1. Placing an order constitutes an offer to purchase.
5.2. A contract is formed when the Company sends an order confirmation email.
5.3. The Company may refuse orders for legitimate reasons including:
- Product unavailability
- Pricing errors
- Suspicion of fraud
6. Prices, VAT, and Taxes
6.1. Prices are listed in GEL or EUR as indicated.
6.2. For Georgian customers:
- Prices include applicable Georgian taxes.
6.3. For EU customers:
- Goods are sold and shipped from Georgia as exports.
- EU VAT, customs duties, and import taxes may be charged upon import into the EU.
- The customer is solely responsible for such charges.
6.4. The Company is not registered under the EU VAT OSS scheme.
6.5. Failure to pay import duties does not create a refund obligation.
7. Payment
7.1. Payment is processed via authorized payment providers.
7.2. The Company does not store full credit card details.
7.3. Orders may be cancelled if payment authorization fails.
8. Delivery and Risk
8.1. Delivery times are estimates.
8.2. Risk passes to:
- Georgian consumers: upon physical receipt.
- EU consumers: upon physical receipt.
8.3. If the customer independently appoints a carrier not offered by the Company, risk passes upon transfer to that carrier.
8.4. Customers must provide accurate shipping information.
9. Right of Withdrawal (Consumers Only)
9.1. Georgian Consumers
Consumers have the right to withdraw within 14 calendar days from delivery without giving a reason.
9.2. EU Consumers
EU consumers have the right to withdraw within 14 calendar days under Directive 2011/83/EU.
9.3. To exercise withdrawal, the customer must notify the Company via email.
9.4. The Company will reimburse:
- Product price
- Standard delivery cost (if applicable)
within 14 days after receiving returned goods.
9.5. Customers bear return shipping costs unless otherwise required by law.
9.6. The consumer is liable for diminished value resulting from handling beyond what is necessary to establish nature and functioning.
10. Exceptions to Withdrawal
10.1. The right of withdrawal does not apply to:
- Custom-configured kits
- Personalized components
- Items clearly marked as custom-built
11. Legal Guarantee of Conformity
11.1. Georgian Consumers
The Company provides a 2-year legal guarantee for defects existing at the time of delivery.
11.2. EU Consumers
EU consumers benefit from a minimum 2-year conformity guarantee under Directive (EU) 2019/771.
During the first 12 months, defects are presumed to have existed at delivery unless proven otherwise.
11.3. Remedies
Consumers may request:
- Repair
- Replacement
- Price reduction
- Refund (if repair/replacement impossible)
11.4. Warranty Limitations
The guarantee does not cover:
- Damage caused by misuse
- Improper assembly of kits
- User modifications
- Integration with incompatible third-party components
11.5. Modification voids commercial warranty but does not affect statutory consumer rights for original defects.
12. Open-Source Modification Disclaimer
12.1. OpenFlexure products may be modified under CERN-OHL.
12.2. The Company is not responsible for:
- Performance of modified devices
- Scientific results obtained after modification
- Safety issues arising from alterations
12.3. Users assume full responsibility for redistributed modified versions.
13. Limitation of Liability
13.1. The Company is liable for foreseeable loss resulting from breach of contract.
13.2. Nothing excludes liability for:
- Death or personal injury caused by negligence
- Fraud
- Mandatory statutory rights
13.3. To the extent permitted by law, liability is limited to the purchase price of the product.
13.4. The Company is not liable for:

18.4. These Terms, together with the Privacy Policy and applicable Open Hardware Licenses, constitute the entire agreement.
